Terms and Conditions

1. Acceptance of Terms

By engaging UHRS IT Services ("Company") for any service, or by accessing this website, you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our services.

2. Services

The Company provides digital marketing services including but not limited to SEO, web design, web development, mobile app development, social media marketing, content writing, link building, and paid advertising. The specific scope of services is defined in the Statement of Work (SOW) or Service Agreement signed between the parties.

3. Payment Terms

• Payment is due as specified in the signed agreement (typically 50% upfront, 50% on delivery, or monthly for retainer services)
• Late payments may incur a 2% monthly interest charge
• The Company reserves the right to pause services for accounts overdue by more than 14 days

4. Client Obligations

The client agrees to:

• Provide timely access to required accounts, credentials, and content
• Provide accurate business information
• Respond to communications within 5 business days
• Not engage competing agencies for the same services without prior notification

5. Intellectual Property

Upon full payment, clients receive full ownership of deliverables (websites, content, graphics) created for them. The Company retains the right to display work in portfolios unless otherwise agreed in writing. Third-party tools, plugins, or licensed assets remain subject to their respective licence agreements.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including strategies, pricing, and client data.

7. Limitation of Liability

The Company's liability is limited to the total fees paid for the specific service in question in the preceding 3 months. We are not liable for indirect, consequential, or punitive damages, including loss of revenue or data.

8. No Guarantee of Rankings

While we employ best practices and have a strong track record, no specific search engine ranking positions or traffic levels can be guaranteed, as search algorithms are controlled by third parties.

9. Termination

Either party may terminate services with 30 days' written notice. The Company may terminate immediately for non-payment or breach of these terms. Fees for work completed up to the termination date are payable.

10. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of [City], India.
